We advise financial and operational creditors, corporate debtors, resolution applicants and personal guarantors on the Insolvency and Bankruptcy Code, 2016, from both legal and financial viewpoints.

We support resolution professionals through the corporate insolvency resolution process (CIRP) and liquidators through liquidation, including vetting process documents and resolution plans. We also vet resolution plans for prospective resolution applicants.

Litigation and advisory before Hon'ble NCLT, NCLAT and the Supreme Court. We draft, file and appear in these matters ourselves.

We handle schemes of amalgamation, merger and demerger, and other compromises and arrangements, from the first motion to the final order, including drafting the minutes of the order. Our M&A support includes legal due diligence and compliance for these schemes.

We also advise and act in shareholder and corporate disputes under the Companies Act, 2013.

Litigation and advisory before Hon'ble NCLT, NCLAT, the High Courts and the Supreme Court. We draft, file and appear in these matters ourselves.

We represent clients before arbitral tribunals, commercial and district courts, Hon'ble High Courts and the Supreme Court of India. Our work covers disputes under a range of contractual frameworks, including FIDIC, and multi-tier dispute resolution through Dispute Adjudication Boards.

Typical matters include infrastructure and construction disputes, financial and compensation claims, and disputes over project extensions and performance. We also act in pre-institution mediation under Section 12A of the Commercial Courts Act, 2015, and in matters before MSME Facilitation Councils.

We review and advise on requests for proposal, tender documents (including GCC, ITB, IFB and NITs) and the award of contracts. On live projects, we help monitor delays, identify cost-escalation risks and advise on mitigation.

We also draft and review MOUs, agreements and commercial contracts.

We advise boards and companies on governance and compliance under the Companies Act, 2013 and SEBI regulations, and act in appeals before the Securities Appellate Tribunal.

We advise on and act in Goods and Services Tax and customs matters, including the tax implications of amalgamations, restructurings and long-term contract structuring.

We advise employers on compliance with the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, including policies, Internal Committees, and related inquiries and proceedings.

In insolvency, M&A and financial transactions, we work with independent registered valuers and forensic auditors on business and asset valuations.

We advise on transaction audits during CIRP and liquidation, and act in applications that arise from them, including those on preferential, undervalued, fraudulent or extortionate transactions.

We advise on corporate insolvency and restructuring under the UK frameworks, including administration, company voluntary arrangements, creditors' voluntary liquidation and members' voluntary liquidation, for companies and groups whose operations, assets or creditors sit in more than one jurisdiction.

We also advise individuals on personal insolvency and individual voluntary arrangements, and act for creditors on recovery and ranking and for directors on the duties that arise as a company approaches insolvency.

We advise on cross-border transactions, treaty positions, permanent establishment and withholding tax, and review global contracts from a tax perspective before they are signed.

On transfer pricing we design policy, prepare documentation and benchmarking, and defend pricing positions before the Dispute Resolution Panel, the Income Tax Appellate Tribunal and the Hon'ble High Courts.
